WoodenMax Partner Program — Terms & Conditions

These Partner Program Terms & Conditions ("Terms") are a legal agreement between WoodenMax Architectural Elements ("WoodenMax", "we", "us") and the business or individual applying to be listed ("Partner", "you"). They apply in addition to our Privacy Policy. By submitting a partner application on the WoodenMax Partner Program page, you confirm that you have read, understood and accepted these Terms, and that you are authorised to bind your business.

WoodenMax provides an online listing and discovery platform that lets partners showcase their business, products, specifications and pricing to potential customers in India and worldwide.

• WoodenMax is not the seller, manufacturer, importer or service provider of partner-listed products and services, unless the listing is WoodenMax's own.
• WoodenMax does not act as agent, broker, guarantor or party to any transaction between a partner and a customer.
• Any order, quotation, contract, payment, delivery, installation, warranty or after-sales service is solely between the partner and the customer.
• WoodenMax does not verify, endorse or guarantee the quality, safety, legality or accuracy of any partner listing beyond a basic review.

The program is open to genuine businesses in the architectural, building-materials and construction-products industry — including manufacturers, authorized distributors, dealers, importers, fabricators, installation/service/repair providers, designers & architects, brand representatives and specialized product suppliers — based anywhere in India or worldwide. Minimum requirements:

• A valid GST or Udyam / MSME (Laghu Udyam) registration (or an equivalent business registration for partners outside India).
• Active business operations and a verifiable business address.
• Ability to provide accurate product specifications, images and transparent pricing where applicable.
• Commitment to respond to customer enquiries professionally.

Submitting an application does not guarantee a listing. All applications are subject to verification by the WoodenMax team. We may approve, reject, request more information, edit for clarity/formatting, or remove a listing at our discretion. We may also decide how and where a listing appears, including its category and city/region visibility.

As a partner, you agree to:

• Provide accurate, current and non-misleading information about your business, products and pricing.
• Keep pricing updated and avoid misleading or bait pricing. Prices may be shown as indicative and may exclude taxes, transport or installation unless stated.
• Maintain accurate contact details and respond to customer enquiries professionally and promptly.
• Maintain correct product specifications and avoid false claims, fake certifications or counterfeit products.
• Only list brands and products you are legally entitled to sell or represent, and hold valid brand authorization where required.
• Comply with all applicable laws, including consumer-protection, advertising, tax, labelling and intellectual-property laws.

You must not:

• Provide false, fraudulent or misleading information or pricing.
• List counterfeit, unauthorized, unsafe or illegal products.
• Infringe any third party's trademark, copyright or other rights.
• Submit spam, malware, or other businesses' details without authorisation.
• Misuse customer leads or contact data for unsolicited marketing or resale.
• Misrepresent your relationship with WoodenMax or any brand.

Basic partner listing is currently free, and WoodenMax does not charge a commission on it. WoodenMax may, in future, introduce optional paid features or premium placements; any such charges will be communicated in advance and are entirely optional. Free listing does not create any employment, partnership, franchise or joint-venture relationship between you and WoodenMax.

You retain ownership of the business names, logos, product images, text and other content you submit ("Partner Content"). By submitting Partner Content, you grant WoodenMax a non-exclusive, royalty-free, worldwide licence to host, display, resize, optimise and promote that content for the purpose of operating and marketing the listing and the platform. You confirm you have all rights necessary to grant this licence and that the content does not infringe any third-party rights.

WoodenMax may share customer enquiries with you, but does not guarantee any minimum number of leads, enquiries, orders, traffic, ranking or revenue. Lead volume and quality depend on many factors outside our control. You are responsible for independently verifying and dealing with any customer.

The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

• WoodenMax is not liable for any dispute, loss, damage, defect, delay, non-delivery, poor workmanship or non-payment arising from any transaction between a partner and a customer.
• WoodenMax is not responsible for the accuracy of partner-supplied information, pricing or specifications.
• To the extent any liability of WoodenMax is established, it shall not exceed the total fees (if any) actually paid by the partner to WoodenMax in the 3 months preceding the claim — which, for a free listing, is nil.
• WoodenMax is not liable for indirect, incidental, special or consequential damages, including loss of profit, goodwill or data.

You agree to indemnify and hold WoodenMax, its directors, employees and agents harmless from any claim, demand, loss, liability, penalty or expense (including legal fees) arising from your listing, your Partner Content, your products or services, your dealings with customers, or your breach of these Terms or applicable law.

The business and contact details you submit are processed to operate the listing, verify your business and connect you with customers, in line with our Privacy Policy and India's Digital Personal Data Protection Act, 2023 (DPDP). Where you receive customer personal data through the platform, you act as an independent data fiduciary and must use it only to respond to that customer, keep it secure, and comply with applicable data-protection laws. Do not use customer data for unsolicited marketing or resale.

WoodenMax may review, edit, suspend or remove any listing — and may approve, reject, suspend or remove any partner — based on verification results, customer feedback, service quality, transparency standards, repeated complaints, or violation of these Terms or the WoodenMax Partner Guidelines. We may do so with or without prior notice where reasonably necessary. You may request removal of your listing at any time by emailing us.

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date, and where practical we will notify active partners. Continued participation in the program after changes take effect constitutes acceptance.

These Terms are governed by the laws of India. Subject to applicable law, the courts at Hyderabad, Telangana shall have jurisdiction over any dispute arising out of or relating to the WoodenMax Partner Program.
